Job Description:

We have been retained by a publicly-traded oil and gas energy company in Pennsylvania to recruit a Vice President, General Counsel and Secretary. Candidates for this position must have a J.D. from a well-regarded law school, 10-15 years of legal experience in general corporate, public company governance and securities, capital markets and finance and corporate secretary matters. Having worked in or having exposure to the oil and gas sector, exploration and production operations, or the energy industry is a big plus.  Preference also will be given to candidates who have experience in both a law firm and corporate setting. This position reports directly to the company’s CEO and will be a member of the executive management team.
 
As a member of the senior executive team, the General Counsel will advise on a wide range of legal matters relating to company business, including new business endeavors, corporate transactions, securities and governance, capital markets and financing, and operational and oil & gas-related matters. The position also will include handling state and federal regulatory issues, employment/labor law issues, dispute avoidance and resolution, and all aspects of commercial and procurement law.  Overseeing department staff in matters relating to the company’s legal and compliance affairs; selecting, evaluating, and managing outside counsel; working with senior management to devise strategy for claims; and leading, participating and/or managing all legal proceedings, arbitrations, and mediations of commercial, employment, and other legal disputes are also part of this role. 
 
Additional responsibilities include leading, reviewing, negotiating and/or drafting (all with input from business partners) a wide variety of commercial contracts, vendor contracts, oil and gas marketing contracts, and other corporate contracts with third parties. The VP, GC and Secretary also serves as the company’s corporate secretary and is responsible for coordinating all Board and Committee matters and executing corporate secretarial obligations.
