Job Description:

We have been retained by a growing, actively diversifying, publicly-traded manufacturing company in the Mid-West to recruit a corporate securities lawyer with 4-7 years of experience (gained at a large law firm or publicly traded corporation). Reporting directly to the General Counsel, this position will have responsibility for key corporate matters including securities, M&A, finance and public company governance and will work closely with the C-Suite, the Board of Directors and outside counsel in connection with the aforementioned matters. Key responsibilities include:

  • Preparing securities filings (including Forms 10-K, 10-Q and 8-K), as well as the proxy statement and annual shareholder meeting materials
  • Assisting in developing, maintaining and executing policies and procedures to ensure sound corporate governance and compliance with NYSE and SEC regulations and other laws and regulations applicable to public companies
  • Playing a central role in executing mergers, acquisitions, divestitures and other transactions, including legal due diligence and the negotiation and preparation of transaction agreements
  • Managing general corporate matters, including those relating to securities law, domestic and global M&A, corporate governance, corporate finance, executive compensation and equity compensation plans
  • Working with other corporate functions to manage the Company’s global corporate organizational structure
  • Conducting research and providing legal advice on corporate and securities law issues
